These Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Nexora Prime International website, counselling, application, training, travel, career and related support services.

In these Terms, “Nexora Prime,” “we,” “us,” or “our” means Nexora Prime International. “Client,” “student,” “applicant,” “you,” or “your” means any person who accesses our website, submits an enquiry, receives counselling, makes a payment or uses our services.

By using our website, submitting an enquiry, signing a service agreement, paying a fee or instructing us to begin work, you confirm that you have read and accepted these Terms.

If you are under 18, a parent or legal guardian must review and accept the relevant service terms and payment obligations on your behalf.

1. Scope of Services

Depending on the service package selected, Nexora Prime may provide:

  • Study-abroad counselling;
  • Academic-profile assessment;
  • Destination, institution and course guidance;
  • Admission-application preparation and submission;
  • Scholarship information and application support;
  • Statement-of-purpose, CV and document guidance;
  • English-language and interview-preparation assistance;
  • Visa-document preparation and submission guidance;
  • Pre-departure and accommodation support;
  • PhD proposal, supervisor-search and application support;
  • IT or language training;
  • Job-placement guidance;
  • Tours, travel and Umrah support;
  • Document attestation, translation, medical, insurance and related support; and
  • Referrals to third-party service providers.

The exact scope, fees, timeline and deliverables may be set out in a separate:

  • Service agreement;
  • Invoice;
  • Payment receipt;
  • Application form;
  • Quotation;
  • Email; or
  • Written confirmation.

Where a separate written agreement conflicts with these general Terms, the specific written agreement will apply to the extent of that conflict.

2. Nature of Our Role

Nexora Prime acts as a consultancy, adviser, facilitator or representative where formally authorised.

We are not:

  • A university or college;
  • An embassy or visa-issuing authority;
  • An immigration authority;
  • A scholarship-awarding body;
  • A government department;
  • An employer unless expressly stated;
  • A bank or financial institution; or
  • An airline, hotel or travel operator.

We assist with the preparation and coordination of applications. Final decisions remain with the relevant third party.

3. No Guarantee of Admission, Scholarship, Employment or Visa

Admission, scholarship, credit transfer, tuition reduction, visa, immigration, employment and travel decisions are made independently by:

  • Universities;
  • Colleges;
  • Scholarship bodies;
  • Employers;
  • Embassies;
  • Visa-processing centres;
  • Immigration authorities;
  • Government agencies; and
  • Other relevant organisations.

Nexora Prime does not guarantee:

  • Admission;
  • An offer letter;
  • A scholarship;
  • A specific tuition discount;
  • Credit transfer;
  • Visa approval;
  • Visa-processing time;
  • Employment;
  • Salary;
  • Permanent residence;
  • Post-study work rights; or
  • Entry into any country.

Statements such as “visa assistance,” “application assistance,” “high success,” “fast processing” or similar marketing expressions describe the support offered and must not be interpreted as a guaranteed outcome.

4. Eligibility Assessments

Any initial assessment provided by us is preliminary and based on the information available at that time.

Eligibility may change because of:

  • Updated university requirements;
  • Changed immigration policies;
  • English-language requirements;
  • Academic verification;
  • Financial evidence;
  • Document quality;
  • Interview performance;
  • Medical or character requirements;
  • Available seats; or
  • Decisions by a third party.

An initial positive assessment does not guarantee acceptance or approval.

5. Applicant Responsibilities

You agree to:

  1. Provide complete, accurate, genuine and current information;
  2. Submit original or lawfully certified documents when requested;
  3. Disclose previous visa applications, refusals, removals or immigration issues;
  4. Disclose complete academic and employment history;
  5. Review application forms and documents before submission;
  6. Attend appointments, interviews, medical tests and biometric enrolments;
  7. Respond to requests within required deadlines;
  8. Maintain a valid passport;
  9. Pay required fees on time;
  10. Follow the rules of institutions, embassies and authorities;
  11. Inform us promptly of any material change; and
  12. Independently review the final course, institution, fees and destination before making a commitment.

You remain responsible for the truth and accuracy of all information submitted in your name, even where Nexora Prime assists with formatting, uploading or submission.

6. Fraudulent or Misleading Information

We maintain a strict policy against:

  • Forged documents;
  • Altered transcripts;
  • False employment records;
  • Fabricated bank statements;
  • Misleading sponsorship claims;
  • Undisclosed visa refusals;
  • False personal statements; and
  • Any other misrepresentation.

If we reasonably suspect fraud or material misrepresentation, we may:

  • Suspend or terminate services;
  • Refuse to submit an application;
  • Notify the applicant of the concern;
  • Retain records where legally necessary;
  • Decline a refund where work has already been performed or costs incurred; and
  • Cooperate with institutions or authorities where legally required.

The applicant is responsible for consequences arising from false, incomplete or misleading information supplied by the applicant, sponsor or representative.

7. Fees and Payments

Fees may include:

  • Consultancy or service fees;
  • Application fees;
  • University or college deposits;
  • Tuition fees;
  • Visa fees;
  • Embassy or visa-centre charges;
  • Medical, biometric and insurance charges;
  • Translation, attestation or verification fees;
  • Courier charges;
  • Travel or accommodation costs;
  • Examination or training fees; and
  • Third-party service-provider charges.

All payments must be made through an authorised Nexora Prime payment method. A receipt should be requested and retained.

Unless expressly stated otherwise:

  • Prices may change due to exchange rates, institutional fees, government charges or third-party pricing;
  • University and government fees are controlled by the relevant organisation;
  • Bank and transfer charges are the client’s responsibility; and
  • A quotation is valid only for the stated period.

Nexora Prime is not responsible for cash or payments given to an unauthorised person or account.

8. Refund and Cancellation Policy

Refund eligibility depends on:

  • The specific service purchased;
  • Work already completed;
  • Costs already incurred;
  • Third-party refund rules;
  • The reason for cancellation; and
  • Any separate written agreement.

Unless otherwise confirmed in writing:

8.1 Consultancy and Service Fees

Consultancy or service fees may be non-refundable after:

  • Counselling has been completed;
  • Documents have been reviewed or prepared;
  • An application has been created or submitted;
  • An appointment has been booked;
  • Training has started; or
  • Other agreed work has commenced.

8.2 University, Visa and Third-Party Payments

Payments made to universities, colleges, embassies, visa centres, testing providers, travel providers or other third parties are governed by the relevant organisation’s refund policy.

Nexora Prime cannot guarantee or personally fund a third-party refund.

8.3 Visa Refusal

Visa refusal does not automatically create a right to a refund of Nexora Prime’s service fee.

A refund may be considered only where:

  • A written refund commitment was provided;
  • The applicable service package specifically includes it; and
  • The applicant has complied with all stated conditions.

No refund will normally be due where refusal or rejection results from:

  • False or incomplete information;
  • Undisclosed history;
  • Financial insufficiency;
  • Interview performance;
  • Medical or character concerns;
  • Failure to provide documents;
  • Missed deadlines;
  • Policy changes; or
  • A third-party decision beyond our control.

8.4 Refund Requests

Refund requests must be submitted in writing with:

  • The applicant’s full name;
  • Receipt or invoice number;
  • Service purchased;
  • Payment evidence;
  • Reason for the request; and
  • Relevant supporting documents.

Approved refunds may be subject to deductions for:

  • Completed work;
  • Non-refundable third-party charges;
  • Bank or payment-processing fees; and
  • Applicable taxes or administrative costs.

9. Application and Processing Timelines

Any timeline we provide is an estimate.

Processing may be affected by:

  • University response times;
  • Document verification;
  • Embassy appointments;
  • Immigration processing;
  • Public holidays;
  • Intake capacity;
  • Payment delays;
  • Policy changes;
  • Technical failures;
  • Additional-document requests; or
  • Events outside our reasonable control.

We are not liable for loss caused solely by a third-party delay. Applicants should avoid making non-refundable travel, accommodation or employment arrangements before receiving the necessary approval.

10. University and Course Information

We take reasonable care when communicating:

  • Entry requirements;
  • Fees;
  • Scholarships;
  • Intake dates;
  • Course structures;
  • Work rights;
  • Visa requirements; and
  • Other programme information.

However, institutions and authorities may change information without notice.

Before paying a deposit or accepting an offer, the applicant must review the official:

  • Offer letter;
  • Fee schedule;
  • Refund policy;
  • Course details;
  • Institution terms; and
  • Immigration requirements.

Official documents issued by the relevant institution or authority take priority over promotional material or informal communication.

11. English-Language and Academic Requirements

The acceptance of IELTS, PTE, TOEFL, Duolingo, MOI or another English-language method depends on the institution, programme, nationality and applicable immigration rules.

A statement that a test is “accepted,” “not required” or “waived” may be subject to:

  • An interview;
  • Internal assessment;
  • Previous education;
  • Programme requirements;
  • Embassy rules; or
  • Additional conditions.

The applicant must satisfy the final requirements stated by the institution and relevant authority.

12. Visa Assistance

Visa assistance may include:

  • Checklist guidance;
  • Document review;
  • Form-completion support;
  • Appointment guidance;
  • Interview preparation;
  • Submission assistance; and
  • General process updates.

The applicant is responsible for:

  • Reading and approving the application;
  • Providing truthful answers;
  • Attending appointments;
  • Supplying biometrics;
  • Completing medical or police requirements;
  • Paying government charges; and
  • Complying with visa conditions.

Nexora Prime does not issue visas and cannot control an immigration decision.

13. Job-Placement Services

Where job-placement guidance is offered, Nexora Prime may provide:

  • Vacancy information;
  • Employer introductions;
  • CV support;
  • Interview preparation; or
  • Application coordination.

Unless confirmed in a signed employment contract, we do not guarantee:

  • A job offer;
  • A specific employer;
  • Salary;
  • Working hours;
  • Benefits;
  • Visa sponsorship; or
  • Continued employment.

Applicants must independently review the employer, contract, job duties, salary, accommodation, deductions and local employment rules before accepting an offer.

No applicant should resign from current employment, travel or make a major financial commitment solely on the basis of an informal opportunity.

14. Travel, Tours and Umrah Services

Travel-related services may involve independent:

  • Airlines;
  • Hotels;
  • Visa providers;
  • Transport operators;
  • Tour operators; and
  • Religious-travel service providers.

Schedules, prices, routes, hotel availability, visa decisions and entry requirements may change.

Clients are responsible for:

  • Valid passports;
  • Required vaccines or medical documents;
  • Entry requirements;
  • Travel insurance;
  • Personal expenses; and
  • Compliance with local law.

Separate booking and cancellation conditions may apply.

15. Training Services

For IT, language or other training programmes:

  • Course content and schedules may be adjusted;
  • Attendance requirements may apply;
  • Certificates may depend on attendance or assessment;
  • Fees may become non-refundable after commencement; and
  • Completion does not guarantee employment, admission or a particular test score.

16. Third-Party Services

We may introduce or refer clients to independent providers, including:

  • Universities;
  • Employers;
  • Translators;
  • Medical centres;
  • Insurers;
  • Banks;
  • Accommodation providers;
  • Travel companies;
  • Payment providers; and
  • Document-processing services.

Unless stated otherwise, these providers operate independently. Their own contracts, fees, privacy policies, refund rules and terms apply.

We are not responsible for an independent provider’s acts, omissions, service quality or decisions, except to the extent liability cannot lawfully be excluded.

17. Communication

You authorise us to communicate through the contact details you provide, including:

  • Telephone;
  • Email;
  • SMS;
  • WhatsApp;
  • Messenger; and
  • Other reasonable channels.

You must ensure your contact details remain active and check messages regularly.

Failure to read or respond to an important message may affect an application, booking or deadline.

18. Facebook, Instagram and Online Lead Forms

Submitting a Meta/Facebook/Instagram lead form or sending an advertising-platform message:

  • Creates an enquiry, not a guaranteed application;
  • Authorises our team to contact you;
  • Does not confirm admission or visa eligibility;
  • Does not reserve a university seat; and
  • Does not create a paid service agreement unless separately confirmed.

Users should avoid sending passports, bank statements or highly sensitive documents through public comments or unsecured social-media channels.

19. Website Use

You may use our website only for lawful purposes.

You must not:

  • Attempt unauthorised access;
  • Interfere with website security;
  • Upload malware;
  • Collect other users’ information;
  • Impersonate another person;
  • Submit false enquiries;
  • Copy protected content for commercial use;
  • Misuse forms or communication channels; or
  • Engage in conduct that disrupts our services.

We may restrict access where misuse is suspected.

20. Intellectual Property

Unless otherwise stated, the website’s:

  • Text;
  • Graphics;
  • Branding;
  • Logo;
  • Layout;
  • Videos;
  • Documents; and
  • Original promotional content

belong to Nexora Prime or are used under permission.

Users may view and download content for personal, non-commercial purposes only. Reproduction, modification, resale or commercial use requires prior written permission.

Third-party university names, logos and trademarks belong to their respective owners.

21. Testimonials, Images and Results

Testimonials, admission results, offer letters, visa-success stories and student experiences are individual examples.

They do not guarantee that another applicant will receive the same result.

We will seek appropriate permission before intentionally publishing identifiable student material. Sensitive identifiers should be removed or obscured.

22. Confidentiality and Privacy

We process personal information in accordance with our Privacy Policy.

Information may be shared with relevant institutions, authorities and service providers where necessary to deliver the requested service.

The Privacy Policy forms part of these Terms.

23. Suspension and Termination

We may suspend or terminate services where:

  • Fees remain unpaid;
  • The client fails to cooperate;
  • Required information is repeatedly withheld;
  • Fraud or misrepresentation is suspected;
  • Staff are threatened or abused;
  • Continuing the service may breach law or professional standards; or
  • The agreed service becomes impossible.

Termination does not remove outstanding payment obligations for work already completed or costs already incurred.

24. Respectful Conduct

Clients, representatives and staff must communicate respectfully.

We may refuse service where a person engages in:

  • Threats;
  • Harassment;
  • Discrimination;
  • Abusive language;
  • Fraud;
  • Violence; or
  • Deliberate disruption.

Legitimate complaints may be raised through the complaint procedure without affecting this requirement.

25. Complaints

Complaints should be submitted in writing and should include:

  • Full name;
  • Contact information;
  • Application or invoice reference;
  • Clear description of the issue;
  • Relevant dates; and
  • Supporting evidence.

We will aim to:

  1. Acknowledge the complaint;
  2. Review available records;
  3. Request further information where needed; and
  4. Provide a written response within a reasonable period.

Submitting a complaint does not automatically suspend university, visa or payment deadlines.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Nexora Prime will not be liable for indirect, incidental, consequential or special loss arising from:

  • Admission rejection;
  • Scholarship refusal;
  • Visa refusal;
  • Immigration or policy changes;
  • Third-party delay;
  • Course cancellation;
  • Institution closure;
  • Exchange-rate movement;
  • Missed travel;
  • Employer decisions;
  • Loss of employment;
  • Failure to obtain post-study rights; or
  • Events outside our reasonable control.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Where liability can legally be limited, our aggregate liability relating to a paid service will not exceed the service fee actually paid directly to Nexora Prime for the specific service giving rise to the claim, excluding third-party payments.

27. Force Majeure

We are not responsible for delay or failure caused by circumstances beyond reasonable control, including:

  • Natural disasters;
  • War or civil unrest;
  • Epidemics or pandemics;
  • Government restrictions;
  • Strikes;
  • Embassy closures;
  • System outages;
  • Cyber incidents;
  • Flight cancellations;
  • Policy changes; or
  • Institutional closures.

We will take reasonable steps to resume or adjust services when possible.

28. Governing Law and Dispute Resolution

These Terms are intended to be governed by the applicable laws of Bangladesh.

The parties should first attempt to resolve disputes through good-faith written communication.

If a dispute cannot be resolved informally, it may be referred to the courts or another lawful dispute-resolution process having jurisdiction in Bangladesh, subject to any mandatory consumer-protection rights.

29. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

The affected provision will be interpreted or modified only to the minimum extent necessary to make it lawful and enforceable.

30. No Waiver

Failure to enforce a provision immediately does not waive the right to enforce it later.

31. Changes to These Terms

We may update these Terms when our services, institutional relationships, technology or legal requirements change.

Updated Terms will be published on the website with a revised “Last Updated” date.

Where a material change affects an active paid service, the specific written agreement in place at the time will remain relevant unless the parties agree otherwise or a legal requirement applies.

32. Entire Agreement

These Terms, together with the applicable:

  • Privacy Policy;
  • Invoice;
  • Receipt;
  • Application form;
  • Service agreement;
  • Refund terms; and
  • Written service confirmation

form the agreement between the client and Nexora Prime concerning the relevant service.
